BusyEvent was built to provide event planners with an easy to use tool for inviting, registering, surveying, generating revenue, creating a fully-featured event information web site, providing all the reporting tools to effectively manage a BusyEvent and providing the opportunity for event support, on-site through our "Event in a Box" system.
In additon to those tools, BusyEvent has been built to assure that ours is a spam-free environment. From the technology, to the methodology and most importantly, the method by which we secure and expose contact information, BusyEvent's goal is 100% deliveribality, 100% accessibility and 0% SPAM.
So, by sharing information with us, please know that we will never share, sell, or give away anything, ever. Only you can make things public and even then, we still protect each registrant's sensitive information.
By using BusyEvent Express and any Panamedia Group system, you agree to the following Terms of Service and the Acceptable Use Policy (AUP) available at: http://www.PanamediaGroup.com/Acceptable-Use-Policy_PanamediaGroup.pdf. The TOS and/or AUP may be updated by us from time to time without notice to you.
Further, by utilizing BusyEvent Express or any Panamedia Group system, you agree to hold harmless and will not hold Panamedia Group LLC and all of its employees and any of its sub contractors responsible for other users' (Organizers, Planners or Registrants, Attendees’) content, actions or inactions. You acknowledge that Panamedia Group LLC (PMG) has no control over and does not guarantee the quality, safety or legality of events advertised or promoted using the Service, the truth or accuracy of users’ content, listings, or ability to perform, or actually complete a transaction.
If you do not agree to the TOS and AUP in their entirety, set forth below and at the URL above, you are not authorized to utilize BusyEvent Express (BEXP) or any Panamedia Group (PMG) tools:
1. Background and Definitions
1.1 Panamedia Group, LLC (PMG) operates BusyEvent Express (BEXP, the Service, Services) through which PMG offers an online and extended onsite event registration and management service (the "Service", "Services").
1.2 People/Companies who register with the Service and otherwise meet the criteria established on the Websites are referred to as "Organizers" or "Planners". "Attendees" or "Registrants" are all the people/companies who access the Service or otherwise use any portion of the Service, regardless of whether they have registered, including those individuals/copmanies who are registrants to any event organized using the Services.
2. Organizers, Planners, Attendees or Registrants (OPAR) Conduct
2.1 OPAR shall use the Services only for lawful purposes.
2.2 OPAR shall not post nor transmit through the Services any material which violates or infringes in any way the rights of others, which is unlawful, threatening, abusive, libelous, defamatory, invasive of privacy or publicity rights, vulgar, pornographic, obscene, profane, inflammatory, discriminatory or otherwise objectionable, or which encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any law.
2.3 OPAR shall not post nor transmit through the Services any material which contains advertising or any solicitation with respect to any products or services, without the express prior written approval of PMG.
2.4 OPAR shall not use the Services for the purpose of sending unsolicited commercial e-mail (i.e. 'spamming'). OPAR affirms that OPAR has the explicit permission of all recipients of electronic mail, to send electronic mail generated in the course of using the Service to recipients, and accepts all responsibility for the generation or transmission of any such electronic mail.
2.5 OPAR shall be personally responsible for protecting the confidentiality of any and all passwords provided to them for the purpose of using the Service.
2.6 OPAR must be of sufficient legal age to use the Services (at a minimum 18 years of age on the date that an OPAR access the Services). You agree that you are responsible for your use of the Services. You will be responsible for any damages caused by your improper or unauthorized use of the site.
2.7 OPAR agrees to provide true, accurate, current and complete information about yourself as prompted by the Service registration form (such information being the Registration Data) and maintain and promptly update the Registration Data to keep it true, accurate, current and complete.
2.8 If you (OPAR) provide any information that is untrue, inaccurate, not current or incomplete, or Panamedia Group has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, you agree that Panamedia Group has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). Subject to the provisions of Section 4, there will be no refunds provided to the Organizer or Planner. As appropriate, refunds may be provided to Attendees or Registrants.
2.9 You acknowledge that Panamedia Group does not pre-screen any Content working in coordination with the Service, but that Panamedia Group LLC and its designees shall have the right (but not the obligation) in their sole discretion to rescind use of the Services and Service. You acknowledge and agree that Panamedia Group LLC may preserve Information and may also disclose Information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the TOS; (c) respond to claims that any Information violates the rights of third-parties; or (d) protect the rights, property, or personal safety of Panamedia Group LLC, its users and/or the public.
3. Privacy
3.1 All information collected on or transmitted through the Servicesis subject to our Privacy Policy, available in the AUP.
3.2 All information related to an event, including the information collected from registered registrants, is deleted from the Services and our system, at our options, within 60 days after the end date of the event. OPAR information is deleted, at our options, one year AFTER the end date of the last event created by that Organizer or Planner.
3.3 You understand that the technical processing and transmission of the Service, including your Information, may involve (a) transmissions over various public and private networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
4. Price of the Services; Refunds
4.1 The price of the Services shall be as set forth in our Payment Processing Agreement, the terms of which are expressly incorporated herein by this reference.
4.2 At PMGs sole option, a full refund of the purchase price and fees related to a particular event is available only if no Attendee or Registrant has registered for the event, 7 days prior to the event's scheduled date. A Attendee or Registrant shall be deemed to have "registered" for an event by taking such actions that places them in the status of pending, wait listed or registered, or otherwise purchases any item or service related to the event. Once any Attendee or Registrant has registered, no refund will be available.
4.3 All monetary collections will be made by OPAR directly through PayPal and/or Google Checkout , and not to or through BusyEvent Express. Hence it will be necessary for BusyEvent Express or any Panamedia Group system user and their paying Customers to transact through PayPal and/or Google Checkout, and be subject to the applicable PayPal Terms of Use and/or Google Checkout Terms of Use.
4.4 Panamedia Group LLC and BusyEvent Express is not affiliated with PayPal or Google Checkout, and neither is the agent or employee of the other, and neither is responsible in any way for the actions or performance (or lack thereof) of the other. The same is true with respect to Panamedia Group, LLC / BusyEvent Express on the one hand and Panamedia Group, LLC / BusyEvent Express Customers and their customers on the other hand. To the extent that the Service is rendered in conjunction with any other provider of services, the same shall also be true, namely that to the extent that a user of the Services or Service hereunder does so in conjunction with the services of another service provider, such user will be subject to the other service provider's terms of service, and neither Panamedia Group, LLC or the other service provider will be considered the agent or employee of the other, and neither will be responsible in any way for the actions or performance (or lack thereof) of the other. The terms of this TOS shall not in any way supersede the terms of any other service provider, nor shall the terms of service of any other service provider supersede the terms of this TOS with respect to the Services or Service.
4.5 Panamedia Group, LLC reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
4.6 Panamedia Group, LLC will not be responsible to you for refund, in whole or part, of service fees for any reason. You agree that Panamedia Group, LLC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
5. Resale of Services
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Websites or the Service, without the express written license of Panamedia Group LLC. 6. Proprietary Rights
You acknowledge and agree that BusyEvent Express and all Panamedia Group systems contains proprietary and confidential information that is protected by applicable intellectual property and other laws. Except as expressly authorized by Panamedia Group LLC, you agree not to modify, rent, lease, loan, sell, distribute, reverse engineer or create derivative works based on the Service, in whole or in part. All information and data ("Data"), and all trademarks, logos and service marks ("Marks") displayed on the site are the exclusive property of Panamedia Group LLC, its licensors or the respective owners of such Data and Marks. Therefore, you agree that you will not reproduce, sell, transfer, modify, redistribute, retransmit, publish and/or commercially exploit the Data or Marks without the express written permission of the entity that owns the Data or Marks. Your access or use of the Services does not grant, expressly or otherwise, any license or right to use any of the Data or Marks.
7. Indemnity
7.1 You agree to indemnify and hold Panamedia Group LLC, and their respective subsidiaries, affiliates, officers, agents, and employees, harmless from any claim, demand, cost, liabilty, obligation, or expense including reasonable attorneys' fees, made or threatened by any third party due to or arising out of content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of these Terms of Service or the Payment Processing Agreement, or your violation of any rights of any other person.
7.2 Unless explicitly stated otherwise, any new features that augment or enhance the Service, shall be subject to the TOS. You understand and agree that the Service is provided AS-IS and that Panamedia Group assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.
8. Limitation of Liability; Disclaimer of Warranties
8.1 YOU EXPRESSLY UNDERSTAND AND AGREE THAT PANAMEDIA GROUP LLC AND THEIR RESPECTIVE SUBSIDIARIES, AFFILIATES, OFFICERS, AGENTS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF PANAMEDIA GROUP LLC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICES OR THE SERVICE; (ii) THE LOSS OR MISDIRECTION OF ANY ELECTRONIC EMAIL SENT THROUGH THE COURSE OF USING THE SERVICES OR THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (v) ANY VIRUSES OR OTHER MALICIOUS SOFTWARE THAT MAY INFECT YOUR COMPUTER EQUIPMENT OR OTHER PROPERTY ON ACCOUNT OF YOUR ACCESS TO, USE OF, OR BROWSING IN THE WEBSITES OR YOUR DOWNLOADING OF ANY CONTENT, MATERIALS, DATA, TEXT, IMAGES, VIDEO OR AUDIO FROM THE WEBSITES, OR (vii) ANY OTHER MATTER RELATING TO THE SERVICE.
8.2 If for any reason the foregoing limitation does not apply, the liability of Panamedia Group LLC to any User will not exceed in the aggregate, the greater of (a) the purchase price or other fees related to the event in question or (b) one hundred U.S. dollars. Some jurisdictions do not allow certain limitations on liability, thus the foregoing limitation(s) may not apply to you.
8.3 Panamedia Group LLC does not make and hereby expressly disclaims any warranty of any kind regarding BusyEvent Express, or any Panamedia Group system, the Service and/or any software, information, content or data provided on or through this site, all of which are provided on an "as is" basis. Further, no site participant warrants the accuracy, completeness, currency or reliability of any of the information, content or data found on this site, including, but not limited to, its availability, access, accuracy or timeliness, and such parties expressly disclaim all warranties and conditions, including implied warranties and conditions of merchantability, fitness for a particular purpose, non-infringement and those arising by law, course of dealing or usage of trade. Some jurisdictions do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific rights which may vary from jurisdiction to jurisdiction.
8.4 The Service may contain links to websites operated by parties other than Panamedia Group. Those links are provided to you for your reference and convenience only. We do not own or control the content of those websites and are not responsible for their content or your use of them. We do not endorse the content of any of those websites.
9. Miscellaneous
9.1 These Terms of Service, together combined with the Payment Processing Agreement, the Privcay Policy and the Acceptable Use Policy (if applicable) constitute the entire agreement between you and Panamedia Group, LLC, and govern your use of the Services and the Service.
9.2 These Terms of Service and the relationship between you and Panamedia Group LLC shall be governed by the laws of the State of Missouri without regard to its conflict of law provisions. You and Panamedia Group LLC agree to submit to the personal and exclusive jurisdiction of the state or federal courts located within St. Louis County, Missouri. You hereby waive any claim or defense based on improper jurisdiction or venue.
9.3 The failure of Panamedia Group LLC to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms of Service shall remain in full force and effect.
9.4 You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Services or the Service or these Terms of Service must be filed within 29 calendar days after such claim or cause of action arose or be forever barred.
9.5 Panamedia Group or the Services may at any time modify these Terms of Service and your continued use of the Services and/or the Service will be conditioned upon the Terms of Service in force at the time of your use, whether those TOS have changed from your original use of the Services, or not. This change also applies to any pricing, payment or other policies pertinent to the use of the Services.
9.6 The section titles in these Terms of Service are for convenience only and have no legal or contractual effect.
9.7 You communicate with the Panamedia Group electronically whenever you visit the Services or send emails to us. You consent to receive communications from Panamedia Group electronically and by fax. You agree that all notices, disclosures, agreements and other communications that we provide to you electronically or by fax satisfy any legal requirements that communications be in writing.
10. Privacy Policy
10.1 Panamedia Group collects information from our users at several different points on our web site.
10.1.1Registration: In order to use the Services, an Organizer or Planner must first complete the registration form. During registration an Organizer or Planner is required to give its contact information (such as email address).
10.1.2 A cookie is a piece of data stored on the user's hard drive containing information needed by the Service. BusyEvent Express may use cookies for the convenience of OPARs and do not use then for any targeted/tracking advertising purposes.
10.1.3. The Service uses IP addresses to analyze trends, administer the site, track user's movement, and gather broad demographic information for aggregate use. IP addresses are not linked to personally identifiable information.
10.1.4 From time-to-time BusyEvent Express organizers and planners will make use of the survey tools and the Service will request information from attendees or registrants via the surveys service. Participation in these surveys is completely voluntary and the Event Organizer or Planner therefore has a choice whether or not to disclose this information. Information requested may include contact information (such as name and shipping address), and demographic information (such as zip code, age level). Contact information will be used to notify the winners and award prizes. Survey information will be used for purposes of monitoring or improving the use and satisfaction of this site.
10.1.5 No financial transactions or sensitive financial information is ever accessible by Panamedia Group or stored on Panamedia Group or Services servers. All financial transactions occur on PayPal's secure, SSL protected servers. Note, you should never use the same email/password combination as PayPal when signing up for a BusyEvent Express account. This web site takes every precaution to protect our users' information. When users submit sensitive information via the web site, your information is protected both online and off-line. We encrypt all passwords in our database. We also protect user-information off-line. All of an organizer or planner's information, not just the sensitive information mentioned above, is restricted in our offices. Only employees who need the information to perform a specific job (for example, our billing clerk or a customer service representative) are granted access to personally identifiable information. Furthermore, ALL employees are kept up-to-date on our security and privacy practices.
10.1.6 In order for the Service to properly fulfill its obligation to our customers, it is necessary for us to supplement the information we receive with information from 3rd party sources, primarily PayPal, Google Checkout and other 3rd party services. This information is not shared with any additional outside parties.
10.1.7 If an OPAR's identifiable information changes (such as e-mail), or if an OPAR no longer desires to use the Service, we will endeavor to provide a way to correct, update or remove that personal data provided to us. This can usually be done at the account page.
10.1.8 If we decide to change our privacy policy, we will post those changes on the Service. If at any point Panamedia Group decides to use personally identifiable information in a manner different from that stated at the time it was collected, we will notify OPARs via email. OPARs will have a choice as to whether or not we use their information in this different manner. If the OPAR opts-out, their information will not be used in this new manner.
